- “Services” refers to the digital solutions provided by Devlopa, including but not limited to web development, mobile app development, UI/UX design, branding, and related services as specified in the project agreement.
- “Website” refers to our online platform, www.devlopa.dev, which serves as the primary point of access for our services.
2. Acceptance of Terms
By using our Website and/or services, you agree to comply with these Terms & Conditions. If you do not agree to these Terms, you must refrain from using our Website or engaging with our services.
We reserve the right to modify these Terms at any time, and such changes will be effective immediately upon posting on our Website. Your continued use of our services after such changes constitutes your acceptance of the revised Terms.
3. Services & Payment
- Scope of Services: The scope of our services will be defined in the project agreement or proposal provided to the Client. All services are to be provided based on the agreed-upon timeline, deliverables, and budget.
- Payment Terms: All payments are due as per the terms outlined in the invoice provided by Devlopa. Payments may be required upfront, at milestones, or upon completion depending on the specific agreement.
- Late Payments: Late payments may result in the suspension of ongoing work. A late fee may also be charged for overdue payments at a rate specified in the project agreement.
- Refunds: Fees for completed work are non-refundable. If a Client wishes to cancel a project, they will be responsible for any fees associated with the work completed up until the termination of the agreement.
4. Intellectual Property
- Pre-existing Intellectual Property: Devlopa retains ownership of any intellectual property created before or outside the scope of the project. This includes any tools, frameworks, or materials used to develop the Client’s project.
- Client Deliverables: Upon full payment for services rendered, the Client is granted rights to the final deliverables, including the design, code, or branding materials. However, Devlopa retains the right to use such deliverables for portfolio purposes unless otherwise agreed.
- Third-Party Licenses: The Client acknowledges that any third-party tools, software, or content included in the final deliverables may be subject to third-party licenses or fees, and the Client is responsible for acquiring such licenses if necessary.
5. Client Responsibilities
- Project Requirements: The Client is responsible for providing clear and detailed project requirements, including any branding assets, content (text, images, videos), and any other materials necessary to complete the project.
- Timely Feedback: The Client agrees to provide timely and constructive feedback during the project. Failure to provide feedback within a reasonable time may result in delays.
- Compliance with Laws: The Client ensures that all materials provided, including text, logos, images, and other content, comply with applicable copyright laws and do not infringe upon the rights of third parties.
6. Revisions & Approvals
- Revision Limits: Clients are entitled to a specified number of revisions as outlined in the project agreement or proposal. After the agreed-upon revisions are completed, additional revisions may be subject to an additional fee.
- Approval Process: Once the final deliverables are presented, the Client must provide approval or feedback within a reasonable time frame. The project will be considered complete upon Client approval or after a certain period has passed without response.
7. Confidentiality
Both parties agree to maintain confidentiality regarding any sensitive business or project-related information. This includes but is not limited to business plans, strategies, financial information, and proprietary materials. The confidentiality obligation extends beyond the termination of the project.
8. Limitation of Liability
- No Guarantee of Outcomes: Devlopa does not guarantee any specific outcomes related to the success, profitability, or performance of the project once completed.
- Limitation of Liability: In no event will Devlopa be liable for any indirect, incidental, special, or consequential damages arising from the use or inability to use the Services, including but not limited to lost profits, data loss, or business interruption.
9. Termination
- Termination by Either Party: Either party may terminate the agreement if the other party breaches any of the terms outlined in the agreement. The non-breaching party may also terminate the agreement if the breaching party fails to cure the breach within a specified period.
- Fees for Completed Work: In the event of termination, the Client is still responsible for paying for all work completed up until the termination date. No refunds will be issued for completed work.
10. Governing Law
These Terms & Conditions shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law principles. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the United Kingdom.
